Terms of service

Effective date: 13 October 2026. These terms are a contract between you and Goodwin Investigations Inc. ("Goodwin", "we", "us"), an Alberta corporation, for the use of Agent Goodwin (the "Service"). By creating an account or paying for a subscription you agree to them.

1. What the Service is

Agent Goodwin helps you write workplace investigation reports from documents you upload. It indexes your documents, lets you search and select passages, and drafts report text from the passages you selected, with a reference to the source of each passage it relies on.

The Service does not give legal advice, does not decide what evidence is relevant, and does not make findings. Those judgements are yours. You are responsible for reviewing every draft before you rely on it, and for the final report you issue.

2. Who may use it

You must be at least 18 and using the Service for business purposes. You confirm that you are entitled to upload the documents you upload, including any personal information in them, and that doing so is consistent with your obligations to the people the documents concern and to your client or employer.

3. Your account

A subscription is for one named person. You may not share your sign-in with anyone else. You are responsible for keeping your password confidential and for everything done under your account. Tell us at once if you think your account has been used without your permission.

4. Fees and billing

New subscriptions start with a free trial of 14 days. We take a card when you sign up and charge nothing until the trial ends. We email you before it ends. If you cancel before the end of the trial, you are not charged. If you do not cancel, your first monthly payment is taken when the trial ends.

After the trial, the Service is billed monthly in Canadian dollars, in advance, by card through Stripe. GST is added where applicable. Your subscription renews automatically each month until you cancel. You may cancel at any time from your account or by emailing us; cancellation takes effect at the end of the current billing period, and you keep access until then.

We do not refund fees for partial months. If a payment fails, we will notify you and retry; if it is not paid within 14 days we may suspend your account until it is.

We may change the price with at least 30 days' notice by email. The new price applies from your next renewal after the notice period.

5. Fair use and limits

A subscription is for one investigator's ordinary caseload. We limit how many documents, reports, and drafting requests an account can run in a given period. We do this to keep the Service available to everyone and because each drafting request has a real cost.

The current limits are shown in your account. If you reach one, the Service tells you. It will not fail silently or quietly shorten your report. We will give at least 30 days' notice by email before lowering a limit.

If use of an account is sustained well beyond one investigator's caseload, or appears to be automated, we may contact you about a plan that fits. If we cannot agree on one, we may suspend the account on reasonable notice.

6. Your content

You own the documents you upload and the reports you create ("Your Content"). You grant us only the permission needed to store, process, and display Your Content in order to provide the Service to you, and to comply with law.

We do not use Your Content to train or improve any artificial intelligence model, and we do not permit our providers to do so.

De-identified and synthetic material. We may create de-identified and synthetic material from Your Content, for example a fictional case built on the shape of a real one, and use it to test and improve the Service and to build demonstration and practice cases. Before any such use, all names, identifiers, and distinguishing details of real people and organisations are removed or replaced, so that the material cannot reasonably be traced back to you, your client, or anyone in your file. This material is not used to train an artificial intelligence model. We do not offer an opt out from this.

You can delete a report at any time, which deletes the documents attached to it. You can close your account at any time, which deletes all of Your Content. The privacy policy describes retention in detail.

7. Acceptable use

You agree not to: upload content you do not have the right to upload; use the Service to harass, defame, or unlawfully discriminate against anyone; attempt to access other users' content or the Service's systems; resell or share access; or use the output of the Service in a way that misrepresents it as an independent or human-authored analysis when that matters to the reader.

8. AI output

Draft text is generated by an artificial intelligence model from the passages you selected. It can be wrong, incomplete, or misleading, even when it cites a source. The references are there so that you can check the draft against the record. You agree to do so before relying on any draft. We keep a log of the prompts and outputs for each report so that you can show how a draft was produced.

9. Confidentiality

We treat Your Content as confidential. We do not open your documents except where you ask us for help and grant access, where it is needed to investigate abuse or a security incident, or where the law requires. We do see how the Service is used, including the prompts it sends and the text it returns, which is how we support you and improve the drafting. Our staff and contractors who could have access are bound by confidentiality obligations.

10. Availability and changes

We aim to keep the Service available at all times but do not guarantee it. We may change or withdraw features with reasonable notice. If we withdraw the Service altogether, we will give at least 60 days' notice and a way to export your reports.

11. Our intellectual property

The Service, its software, design, and documentation belong to Goodwin or its licensors. These terms do not give you any rights in them beyond use of the Service while your subscription is active.

12. Warranties and liability

The Service is provided as is. To the extent the law allows, we exclude all warranties, and our total liability to you for anything arising out of the Service in any 12-month period is limited to the fees you paid us in that period. We are not liable for indirect or consequential loss, or for any decision, finding, or report you issue. Nothing in these terms excludes liability that cannot be excluded by law.

13. Claims by other people

An investigation affects people who are not our customers. If someone other than you, such as a complainant, a respondent, a witness, your employer or client, or a regulator, brings a claim against us arising out of your use of the Service, the documents you uploaded, or a report you issued, you will defend us against that claim and cover the resulting costs, damages, and reasonable legal fees.

This does not apply to the extent the claim arises from our own breach of these terms, our negligence, or a failure by us to keep Your Content confidential. If such a claim is made we will tell you promptly, give you control of the defence, and not settle it without your agreement.

14. Ending the agreement

You may cancel at any time (section 4). We may suspend or end your access if you breach these terms, if your payment is overdue, or if we must do so by law. On termination for breach we may delete Your Content after 30 days. On any other termination you have 30 days to export your reports, the documents you uploaded, your evidence selections, and the prompt and output log for each report. You may ask us to delete everything sooner, and we will confirm when it is done.

15. Changes to these terms

We may update these terms. We will email you at least 30 days before a material change takes effect. Continuing to use the Service after that date means you accept the change.

16. Law and disputes

These terms are governed by the laws of Alberta and the federal laws of Canada that apply there. The courts of Alberta have exclusive jurisdiction, and you and we agree to try to resolve any dispute by discussion before starting a claim.
